M&A Synergy Models | October 2021

This M&A Master Class will focus on the specific decisions, information, and actions that will likely be required during an acquisition process. 


FACULTY

Stephen G. Morrissette, Ph.D is a Visiting Professor of Strategic Management at the University of Chicago's Booth School of Business, where he teaches Merger & Acquisition Strategy. His research includes decision models for mergers and acquisitions including "A Framework for Validating an M&A Deal Thesis" published in the Journal of Accountancy and Finance.


CURRICULUM

I. Building a synergy thesis and model

  1. Identify key value drivers in deal thesis
  2. Identify and estimate synergies in the deal thesis that drive deal value
  3. Developing and testing synergies during diligence process
  4. Determining realistic growth assumptions and risks
  5. Identifying negative / dis-synergies
  6. Estimating costs to accomplish synergies
  7. Creating a synergy model

II. Governance of the synergy model

  1. Tactics to increase accuracy and validity of synergy estimates
  2. Stress testing assumptions
  3. Identifying bias and resistance points  
  4. Defining roles and oversight for the synergy model
  5. Managing synergy driven contingent consideration 
  6. Avoiding common mistakes and pitfalls in synergy estimation

III. Executing the synergy model

  1. Developing a clear and testable synergy model
  2. How to effectively use external advisors
  3. Engaging the target’s management to estimate and realize synergies
  4. Measuring and reporting on synergy realization
  5. Knowledge capture / process refinement
  6. Technology tools to assist synergy estimation and tracking
  7. Guest Q&A: Lessons learned and insights

Familiarity with M&A concepts and methods is prerequisite knowledge.
