Mr. Hugo Dubovoy, Jr.

Hugo Dubovoy, Jr. has served as Vice President, Corporate Secretary of W.W. Grainger, Inc. since September 2015.
Previously, he served as Associate General Counsel, Corporate Business Development from December 2013 to August 2015.
Mr. Dubovoy’s current responsibilities include advising the Board of Directors and senior management in the areas of mergers and acquisitions (M&A), corporate finance, and general corporate and securities matters, while directing legal services for various support functions, including Executive Compensation, Finance, Internal Audit, Investor Relations, Tax and Treasury.
During his time at Grainger, he has supported numerous M&A, corporate finance, and other strategic initiatives, including Grainger’s largest acquisition to date, Cromwell Group, for approximately $482 million, and several public offerings of debt securities aggregating to $1.8 billion.
Before joining Grainger, Mr. Dubovoy spent nearly 10 years in private practice as a partner at Baker McKenzie and an associate at Skadden Arps.
During this time, he represented various Fortune 500 and other clients in negotiated and contested, public and private, and domestic and cross-border M&A transactions ranging in value from $10 million to $11.5 billion, and securities offerings ranging from $160 million to $3.5 billion.
He also advised clients on securities laws and stock exchange requirements, duties of directors, shareholder activism, and other governance and corporate control matters.
Mr. Dubovoy earned his law degree from The University of Chicago Law School (2004), where he was awarded a Kirkland & Ellis Scholarship, and his Bachelor’s degree from Loyola University Chicago (B.A., summa cum laude, 2001). Born and raised in Mexico City, he is fluent in Spanish.
